Is there a 'authorizing' vote, taken by the board, to enter into a contract with an attorney to INVESTIGATE a fellow director?
No. No attorney is needed. This is strictly a decision that can be made by any five board members. That said, I have a feeling OPA's attorney might be at the meeting next Thursday, perhaps to act as parliamentarian. And, by the way, what the hell is an EMPLOYEE doing joining with 3 directors to bring charges against a member of the MANAGEMENT team? I don't know what the above means. If you are going back to the attempt to remove Clarke, I asked the same question at the time. PS - a nit, but don't use the h word. |

For reference, the above message is a reply to a message where: The bylaws provide for removal of a director by a vote of five board members So, it takes 5 board votes to REMOVE a director. Is there a 'authorizing' vote, taken by the board, to enter into a contract with an attorney to INVESTIGATE a fellow director? In other words, what chain of events must take place to legitimately initiate a formal investigation of a fellow board member? And, by the way, what the hell is an EMPLOYEE doing joining with 3 directors to bring charges against a member of the MANAGEMENT team? Thanx. |
