IF, (and I am not in favor of this BTW) they vote to remove Trendic, who then fills the position? Who selects this person to fill the position? Will it be the candidate who receives the 3rd most votes?
The bylaws stipulate that in the current time frame, the new board will select the replacement and the replacement will hold the position until the August 2018 election. From the bylaws: (c) In the event a vacancy occurs after the ballots have been submitted to the Secretary for printing under Section 5.03 or because the election under Section 5.03 failed to fill all vacancies on the Board of Directors, the vacancy shall be filled by a majority vote of the Board of Directors as it exists after the election. The vacancy shall be filled no later than thirty (30) days after the Board's organization meeting. Each appointed Director shall serve until the next annual meeting. |

For reference, the above message is a reply to a message where: Hi Joe. I have a question that I think you can answer for me. IF, (and I am not in favor of this BTW) they vote to remove Trendic, who then fills the position? Who selects this person to fill the position? Will it be the candidate who receives the 3rd most votes? I'm asking because just last year when a board member resigned almost immediately following the election results, he was not replaced with the candidate who was next in line with regards to the vote tally that was a result of the people. He was 'hand picked' to some degree. Don't get me wrong, I'm a Doug fan and I don't want my comments to imply otherwise, but I'm curious as to the protocol of such an event. We're in the middle of an election right now. The voting is currently taking place. Also, the 'word-on-the-street' is that a new GM will be announced any day now. Why is this DRAMA taking place now? Within the next few weeks the election results will be announced. The BALANCE OF POWER can shift depending on the results. With 2 elected board members AND a new GM the dynamics can potentially change. Am I wrong with this line of thinking? Isn't there a saying that TIMING IS EVERYTHING? - please help me to understand why this needs to happen now when everything is potentially on the edge of change? |
