It should be handled as would any motion. Hill will make the motion. If it is seconded, then there will be discussion. One difference from discussion during a typical motion is that Trendic can make any statement he wishes in order to defend himself. He has no rights to interrogate any other board member, and they have no right to interrogate him. Anyone can ask something; there is no obligation to respond.
The reality is could be as simple as Hill making the motion, someone seconds, Trendic is given the opportunity to say something. Call the question. Doubtful, but it could be that simple. |

For reference, the above message is a reply to a message where: Joe, I know you are asking for a cancellation of Thursday meeting but barring that happening how will this play out at the meeting? Is one person, e.g. Hill supposed to have the floor to lay out detailed instances of the alleged behavior? Do other directors get an opportunity to add to it? Does Trendic get a chance to cross-exam Hill and the others while defending himself? Can witnesses be called? Ken |
