Section 5: OPA Board Subject: Motion to Remove Director Trendic Msg# 987613

Marty,
This is an individual I didn't vote for and actually opposed often on this Forum. But he was elected to a three year term and baring malfeasance or illegal actions he should serve out his term. It is hard to believe one person could undermine the new GM to the point of the majority of the board not being able to deal with him/her. Is Jacobs next, is it about having all like-minded people? You of all people should be sensitive to the overbearing actions of the majority. Further, the timing is suspect. We are coming up on an election and this smells of opening a third seat for election to ensure the board is filled out the "right" way. Mr. Herrick should wait until after the election, after the hiring of the new GM, and then see what happens with a clean slate and new GM leadership. In my opinion the optics and timing of this borders on a planned action designed to stack the Board. I haven't seen any evidence that Trendic has been anything more than a royal pain in the butt. There are no accusations that he made salacious comments to or about employees and as for talking directly to employees, the board majority should be careful given many board members, including at least one serving now, have over the years talked directly to department heads. In fact, I know board members who stated in the past that it was their one desire to replace a GM and I don't remember them being booted out for those opinions. The bar for the removal of a sitting director should be high and based on what you have said and the failure of the board president to lay out a case in public to the voters I don't think this bar has been met. This reminds me of Congress in that the things that were so objectionable when in the minority are now acceptable in the majority. Marty, he isn't the first one to be labeled an obstructionist nor is he the first one a board majority wanted to remove from office. It was wrong then and it is wrong now. This is about control of the board, silencing any and all opposition, and carrying out the agenda of one or two individuals. In my opinion, if we are hiring a GM at $150,000 or more he or she should be able to forge a relationship with the full, duly elected Board. If the individual is not strong enough to deal with the Trendic's of the world, then the board failed in the selection process. Finally, this community is becoming more divided not less and the leadership of this board needs not to compound this problem by negating the votes and voice of the membership because a person is or is labeled an obstructionist. For reference, the above message is a reply to a message where: Ted: I know for a fact this is not political, it is practical. Slobodan has done everything in his power to undermine Brett Hill for months. He questions every decision with email after e mail. He has conspired with another director to drum up employee complaints. He is not a gadfly, he is an obstructionist. I believe that the main reason for this action by Mr. Herrick is to give our new General Manager a fighting chance. Marty |
