Section 5: OPA Board Subject: Janasek Pleads Guilty, Apologizes Msg# 1104530

Under our bylaws the board member charged can vote. I have no problem with this. As a practical matter it makes no difference as it would take 5 votes to remove, unless the member voted to remove himself.
However, in such a case the member could simply resign and avoid any vote. |

For reference, the above message is a reply to a message where: Dear Joe, Thanks very much for the summary and information. As always it is most informative - I concur with your opinion regarding outcome and dismissal. My question is related to our bylaws ( process ) . Of note , “The vote on the motion to remove Janasek then took place. Directors Horn, Brown and Perrone voted for removal. Directors Parks, Janasek, Daly and Rogers voted against removal. The motion to remove Janasek from the board failed.” Is a Board member authorized to vote on his/ her standing when charges are brought forward? Is it viewed as a conflict of interest? And if so should the board member be exempt from voting? |
