For reference, the above message is a reply to a message where: Just to be clear, are you contending that there was a closed meeting? Or, are you contending there was Informal Action by Directors? If a closed meeting then the HOA Act does have requirements regarding documenting the closed meeting in minutes of the next meeting. If so, in which meeting minutes should the documentation of this action be found? However, if you are contending an Informal Action, the action must be filed among the minutes, not in a specific meeting minutes. From the Code provision: (2) Filed in paper or electronic form with the minutes of proceedings of the board or committee. Entering the Informal Action in meeting minutes is a good way to record the action in a visible manner, but not required. Anyway, what is your next step? Jim Trummel |
