The move to closed session must comply with the HOA Act.

Thus, under the Act, one or both of the following would be valid for closed session, but neither is stated as a reason:

Consultation with legal counsel on legal matters;

and/or

Consultation with staff personnel, consultants, attorneys, board members, or
other persons in connection with pending or potential litigation or other legal matters;
