I do not believe that any board majority should be meeting in private. It is actually not legal under the law and is also unethical.
I don't believe there is any law or ethical consideration that would, for example, prevent any two or three board members from talking about any OPA issue. Thus, one board member could call three other board members individually and ask their support for some motion. If that support was granted, there would not be much point in any of the four getting into arguments with the other three when the motion was made and under discussion at the meeting. |
