What is not a guess is that the basic premise of the HOA act is to ensure homeowners are notified of board meetings which apparently did not occur in this case.
Actually, I believe the law requires only public notification of regularly scheduled meetings. However, all meetings of the board must be open to association members. Difficult to attend a meeting if the board holds it without informing membership. With regard to whether any meeting of a quorum can be said to be a non-meeting, here is what one lawyer said: "I think if you have a quorum of the board, that's a board meeting, and it needs to be open. A rose by any other name is but a rose. If that open meeting requirement exists, you can't get around it by calling a meeting a 'working session." |

For reference, the above message is a reply to a message where: Robert, My guess is that there probably are portions of the HOA act that are arcane and confusing. What is not a guess is that the basic premise of the HOA act is to ensure homeowners are notified of board meetings which apparently did not occur in this case. For OPA's attorney not to recognize that having a non-employee related meeting following their private session to discuss the GM is a no-no is troubling. Perhaps the old adage, "you get what you pay for" applies here. And you can take that one of two ways. |
