Consider carefully the following language in the bylaws for removing a director via referendum:
(4) Affirmative votes equal to a majority of the total votes that could be cast in the referendum are required to remove a Director. Goodluck ever getting about 4000 votes to remove. Maybe for a serial killer.

For reference, the above message is a reply to a message where: Removing a director via petition is virtually impossible. Joe, If you are offering above as a personal opinion please educate other why you feel this way. BTW, has it ever been tried in OPA? There has been plenty of justified cause for such action...
