Marty, you should read the bylaws..... again.
The board made an offer to buy land they thought was needed by OPA at a price under the referendum limit. The HOA Act allows discussion of a contract in negotiation stage to be done in closed session Just because their proposal was something you opposed does not make the effort any violation of our governing documents. Association members can debate whether or not OPA needed the property or not, but there is no debate that the board had the legal authority to negotiate purchase of that property for an amount under the referendum limit and to do so in closed session. |

For reference, the above message is a reply to a message where: Joe: Where in our By-Laws does it say that it is OK for the board of directors to shirk their fiduciary responsibilities and purposely try to avoid a referendum because they are afraid the stupid and uninformed membership might not agree?
