A vote to take an action outside a meeting can take place and it must be unanimous or the action/motion cannot be taken unless subsequently moved to a regular public meeting.
There are some folks who think no motion is actually required. They think a board member could say something like this in an email to all board members: "Here is a statement of the board position on the referendum. Read it, and if there are no objections it will be our formal position." I am of the mind that there should be a motion/second/discussion and vote -- even if done via email or phone. Daly claims there was a motion and vote. I asked the board weeks ago. Zero response from anyone. That aside, there is no question that if an action is taken outside a meeting, it must be reported in the minutes of the next board meeting. The board failed to do so as far as I can tell. This board treats our governing documents and Maryland law as optional advice. |

For reference, the above message is a reply to a message where: If there was not a vote for the record, was there a vote that mattered? No, as far as governance is concerned; yes, as far as potential impact on the association is concerned. Sloppy at best; deceitful at worst. I opt for the latter. |
