In addition to what you quoted from that February 2024 issue of the Progress, there is also this in the same article where Farr talks about his opposition to the Jacobs resolution regarding a revision to the B-08 Ethics Resolution -
Tom Stauss wrote: "Farr said he understands there is language in the revised resolution that would prohibit directors or OPA staff from receiving complimentary food and drink from any vendor that does business with OPA. He suggested that the problem with a revised B-08 was not that provision but that it's a weapon that has been used by a Board majority to attack the minority." In that regard, Farr is correct, and I wrote the same about any implementation of a Code of Ethics. Any such board code of ethics would be extremely unlikely to be used by any board majority against one of its own majority. However, I believe there are examples of board majorities using previously passed ethics codes to go after members of board minorities. On perhaps three different occasions various boards have implemented some form of ethics resolutions. All have crashed and burned over such controversy. I oppose such board implementation of an ethics resolution, feeling state/corporate laws regarding director conflicts of interest adequately cover such situations. |

For reference, the above message is a reply to a message where: After going back and looking at the February meeting I see that I was mistaken. I thought that was where it was said. As it turns out it wasn’t at the February meeting that Mr Farr discussed the practice of Matt Ortt comping drinks to director. It was actually in the Ocean Pines Progress. February 2024 page 22. Look at the fifth paragraph. The article is titled FARR REBUFFS ATTEMPT TO PLACE REVISED B-8 ON BOARD AGENDA. Here is the paragraph word for word: Farr said the amended B-8 includes some language that would have the effect of banning the Matt Ortt companies from comping directors free drinks at the Yacht Club or other MOC-managed venues, which he said might occur from time to time but isn’t a wide spread practice. |
