In that regard, Farr is correct, and I wrote the same about any implementation of a Code of Ethics.

Any such board code of ethics would be extremely unlikely to be used by any board majority against one of its own majority. However, I believe there are examples of board majorities using previously passed ethics codes to go after members of board minorities.

On perhaps three different occasions various boards have implemented some form of ethics resolutions. All have crashed and burned over such controversy. I oppose such board implementation of an ethics resolution, feeling state/corporate laws regarding director conflicts of interest adequately cover such situations.
