Section 5: OPA Board Subject: It Was Embarrassing Msg# 937152

Joe,
I watched video 1 of the meeting. Yea that was a pretty uncivil, ugly and unmanaged meeting. I thought all of the comments and questions by Herrick, Stephens and Collins were valid. The attacking behavior by Cordwell and Terry really reflected poorly on them. I also don't think the attorney that sits on the board had well developed, rational, justified opinions. They were actually weak and at odds with the controlling HOA documents. Disappointing on so many levels. Of course the GM was doing his usual shucking and jiving of any question directed at him. I am so tired of that dodging that he has elevated to an art form. I did think that Stephens tried to advance the idea of a playbook as relates to DR violations. I believe that Stephens and Collins and perhaps Herrick try to play nice in the sandbox. Honestly I thought that with Marty off the Board the volatility would decrease and collegiality would improve. I guess I was wrong. Renaud proves that real leadership is not a title, and that not all people are capable of being leaders. I really think he should step down as Board Chair. It reminds me so much of our broken political process on the national level. Nothing really getting accomplished, people saying nasty things about each other, refusing to get along. |

For reference, the above message is a reply to a message where: IMHO the answer to 1 is no, he does not. By appointing a BOD member and their accepting, he by definition already has received their tacit approval. This was demonstrated in the silly superfluous vote that the GM instructed them to conduct. The president needs confirmation of his appointments from the entire board, not the member being appointed.... although that is perhaps a needed requirement. Perhaps you missed the entire issue. Renaud appointed himself, Terry and Cordwell as a committee to represent OPA in dealings with Landscapes Unlimited. When he made those appointments he did not tell the rest of the board, ask for the entire board vote, or even appoint them via a "without objection" appointment during a meeting of the board. So, if Renaud did not tell the board, how could he have received "tacit approval?" The bylaws say the president can appoint but must have confirmation of the entire board. This is typically done by appointing without objection at a meeting or by a motion and vote at a meeting. Until now I don't recall it being done privately/unilaterally by the president without even telling the rest of the board members. Cordwell kept mentioning the prior appointees had no business experience. What experience does Cordwell, or Renaud, or Terry have in running golf courses? I think OPA hired LU for THEIR experience in that regard. The issue at hand is how LU intends to increase memberships at the golf amenity, as was their admitted business plan when OPA hired them. |
