Joe, the Board members understand all pertinent sections of the Bylaws. So do I. Important and productive discussions between OPA and OPVFD are happening, and both sides are acting in a responsible, business like, and careful manner. You not getting to know everything related to that, at this point in the process, does not equate to a "lack of transparency." It equates to a corporate Board acting responsibly. | ||||||

For reference, the above message is a reply to a message where: Steve, perhaps you can answer the actual question at hand- is a referendum required or not if OPA borrows $3 million to invest in a new or rehabilitated southside firehouse on property owned by the OPVFD? Surely the Board of Directors knows at this point. This is not a contract issue. This is a governing documents issue. Why would the board try to keep such information from association members? I believe a referendum would be required. Stauss says I am wrong, based on leaks to him, purportedly from a source claiming to know Bright’s advice. Bruce Bright responded to my initial post, but seemed more intent on lecturing me than actually addressing the issue raised by the leak to Stauss. Is any and all legal advice to the board on the plain English meaning or interpretation of our governing documents now top secret, or what? Bright works for the board. He cannot be expected to say anything specific to the issue without board consent. He has not. Well, other than to suggest what Stauss wrote was just a rumor. This is yet another prime time example of the Reynolds theory of transparency: Transparency rarely causes problems; a lack of transparency frequently causes problems. The issue here should be how to best provide what association members want - a continuation of our first rate fire and EMT services. I am not so sure this closed-door meeting approach is the best way to make that happen - especially since the issue is apparently a substantive one in the board election. |
