Dear Joe,
Thanks very much for the summary and information. As always it is most informative - I concur with your opinion regarding outcome and dismissal. My question is related to our bylaws ( process ) . Of note , “The vote on the motion to remove Janasek then took place. Directors Horn, Brown and Perrone voted for removal. Directors Parks, Janasek, Daly and Rogers voted against removal. The motion to remove Janasek from the board failed.” Is a Board member authorized to vote on his/ her standing when charges are brought forward? Is it viewed as a conflict of interest? And if so should the board member be exempt from voting? |

For reference, the above message is a reply to a message where: I am less enamored, if you mean the outcome. Given Janasek’s caustic public comments about Viola were frequent, taking place over a year or more, and that he apparently ignored earlier complaints about his actions - the board should probably have removed him. |
