Counseling employees is not the duty of a director.
Ken ... correct. Keep in mind Larry was in that meeting not in his director capacity but as the president. And unless the board delegated that kind of authority to him he was acting on his own without board's approval.

For reference, the above message is a reply to a message where: Slobodan, Findings of Fact -- 2. At the June 2020 meeting, Mr. Perrone counseled Ms. Phillips on his view that she should be able to handle certain types of matters without escalating them up the chain. These are director Perrone's words. I doubt Colby would have used the word "counseled." Counseling employees is not the duty of a director. |
