| It sounds like Perrone was in that meeting at the request of the GM. People can certainly debate whether he should have been there but I see no bylaw or B-08 violation due to his presence. Are you saying a board president and Gm cannot meet with an association member to discuss some issue? Keep in mind that Ken wanted to offer advice to OPA. | ||||||

For reference, the above message is a reply to a message where: Counseling employees is not the duty of a director. Ken ... correct. Keep in mind Larry was in that meeting not in his director capacity but as the president. And unless the board delegated that kind of authority to him he was acting on his own without board's approval.
